Legal language can create roles, duties, expectations, and consequences. When a person acts without recognizing the framework, important choices may be made without a full appreciation of what is being offered, accepted, promised, or required.

Executed Rights begins with a simple principle: learn the nature of the transaction before attempting to execute it. Proper understanding conserves time and energy and replaces uncertainty with deliberate action.

Constructs

A construct is a framework created to organize an idea, relationship, institution, or legal process. Names, offices, capacities, procedures, and defined roles may all operate within a construct. The first task is to identify the framework and understand how it functions.

Constraints

A constraint is a boundary or condition affecting what may be done within that framework. It may arise from an agreement, a rule, a deadline, a defined capacity, or another stated limitation. Knowing the boundary prevents action based upon assumption.

Contracts

A contract records an exchange of commitments between parties. Its effect depends upon the actual words, the surrounding facts, the parties’ capacity, and the applicable law. Read the terms, identify the obligations, and obtain qualified advice when necessary.

Ask the Questions That Reveal the Substance

A document should never be approached as a collection of impressive words. Look beyond its title and examine what it actually does.

  • Who are the parties, and in what stated capacity is each one acting?
  • What is being offered, promised, exchanged, waived, or accepted?
  • Which terms create an obligation, condition, deadline, or remedy?
  • What facts, definitions, and governing rules affect its operation?
  • What questions must be answered before informed agreement is possible?

Recognize Learn to notice the language, assumptions, roles, and mechanisms operating within a document or process.
Understand Separate fact from conclusion, define the important terms, and trace how each obligation is said to arise.
Execute Act carefully and deliberately, with a clear record and an understanding of the possible consequences of the chosen course.
